Welcome to Shift N2 Power™ (“Company,” “we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, programs, services, and digital offerings. By visiting our website, booking services, making a purchase, enrolling in a program, or participating in any Shift N2 Power™ offering, you agree to these Terms.

If you do not agree with these Terms, please do not use our website or purchase our offerings.

1. Scope of Services

Shift N2 Power™ provides services and offerings including, but not limited to:

• Strategy Sessions
• Execution Reset support
• Fractional Executive Operations Partnership
• Coaching Empowerment Sessions
• Consulting services
• Workshops, trainings, and leadership development experiences
• Keynote speaking and event facilitation
• Digital products (downloads, templates, guides, and resources)
• Media-related offerings (podcast/talk show participation and guest features)

Services may be delivered virtually, in-person, or through digital platforms depending on the offering.

2. Eligibility

By using this site or purchasing from Shift N2 Power™, you confirm that you are at least 18 years of age or have the permission of a parent/guardian.

3. Sales Policy (All Sales Final)

All sales are final. No refunds will be issued for:

• sessions (including Strategy Sessions and Coaching Empowerment Sessions)
• consulting packages or retainers
• trainings, workshops, or events
• speaking engagements
• digital products or downloadable resources
• memberships or program enrollments

Under limited and exceptional circumstances, Shift N2 Power™ may offer, at our sole discretion:

• a credit toward a future service, or
• a limited 1:1 coaching/support session in place of the original purchase

Any credit issued is non-transferable, has no cash value, and must be used within the timeframe stated at issuance.

4. Scheduling, Rescheduling & No-Show Policy

Scheduling

Appointments are scheduled through our booking process and may require payment in full prior to confirmation unless otherwise agreed in writing.

Rescheduling

We understand life and leadership demands change. If you need to reschedule, you must do so with reasonable notice.

• Rescheduling requests should be submitted as soon as possible
• Shift N2 Power™ reserves the right to limit repeated reschedules

No-Shows / Late Arrivals

If you miss your appointment or arrive late:

• sessions may still end at the originally scheduled time
• missed sessions may be forfeited without credit or refund
• repeated no-shows may result in termination of services at our discretion

5. Payment Terms

You agree to provide accurate and complete payment information. Payments are processed through secure third-party providers. Shift N2 Power™ does not store full credit card information.

Shift N2 Power™ reserves the right to:

• correct pricing errors
• cancel or refuse any order when necessary
• request additional verification for high-risk transactions

6. Service Delivery & Client Responsibility

Shift N2 Power™ supports clients through strategy, systems, coaching, consulting, and implementation guidance. While we provide professional insight and high-value support, you acknowledge that:

• results vary by person, organization, and effort
• implementation is your responsibility unless you have an active partnership agreement that includes execution support
• no specific outcomes are guaranteed

You agree to engage in services with integrity, clarity, and readiness to take action.

7. Professional Disclaimer

Shift N2 Power™ offers coaching, consulting, training, and educational services. We do not provide legal, medical, mental health, tax, or financial advisory services unless explicitly stated in writing within a signed agreement.

Any information shared through sessions, trainings, materials, or content is for educational and informational purposes and should not be considered professional advice from licensed providers.

You are encouraged to consult qualified professionals for matters outside the scope of services.

8. Confidentiality

Shift N2 Power™ maintains high standards of discretion and confidentiality.

Information shared during coaching, consulting, or strategy sessions will not be disclosed to third parties except:

• with your explicit written consent
• as required by law
• in circumstances involving imminent harm, abuse, or threats to safety

For corporate and organizational clients, confidentiality boundaries may be further defined in written agreements.

9. Intellectual Property

All content provided by Shift N2 Power™—including but not limited to:

• frameworks (including Shift N2 Power™, E.A.R.N²™, T.A.G. You’re It™, and related materials)
• digital downloads and templates
• written content, videos, trainings, worksheets, and guides
• branding elements, graphics, and proprietary methods

is the intellectual property of Shift N2 Power™ unless otherwise stated.

You may not:

• copy, reproduce, resell, distribute, republish, or share content
• claim Shift N2 Power™ content as your own
• record sessions without written permission
• use materials for commercial use without licensing approval

A limited, personal-use license is granted only to the purchaser unless otherwise stated in writing.

10. Recording & Media Consent

Shift N2 Power™ may host trainings, workshops, or media experiences that are recorded. By participating, you acknowledge that:

• certain events may be recorded for internal documentation, training, or promotional purposes
• consent parameters will be communicated when applicable

If you do not wish to be recorded, you must notify Shift N2 Power™ in writing before the event begins.

11. Communication

By submitting your information through our website, booking forms, or intake process, you consent to receive communications related to:

• scheduling and confirmations
• service updates
• program information
• administrative and support communications

You may opt out of non-essential marketing communications when applicable.

12. Right to Refuse or Terminate Service

Shift N2 Power™ reserves the right to refuse or end services at our discretion, including (but not limited to) situations involving:

• disrespectful or disruptive behavior
• harassment, threats, or hostility
• misuse of intellectual property
• non-payment or repeated missed appointments
• unethical conduct that compromises the business relationship

When appropriate, services may be discontinued without refund.

13. Limitation of Liability

To the fullest extent permitted by law, Shift N2 Power™ will not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the website, programs, services, or content.

You agree that Shift N2 Power™ is not responsible for:

• business decisions made based on coaching/consulting content
• personal outcomes, missed opportunities, or financial changes
• third-party platform failures (scheduling, payment processing, hosting, etc.)

14. Website Use

You agree not to use our website or services to:

• violate laws or regulations
• distribute harmful or malicious code
• attempt unauthorized access to the website or systems
• misuse forms, data, or content

15. Modifications to These Terms

Shift N2 Power™ reserves the right, at our sole discretion, to modify, update, or substitute these Terms at any time.

If a material change is made, we will make reasonable efforts to provide at least 14 days’ notice before updated terms take effect. Determination of what constitutes a “material change” will be made solely by Shift N2 Power™.

Your continued access or use of the website and offerings after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Nevada, without regard to conflict of law principles.
